PEJABAT syarikat pelaburan haram yang didakwa menipu pelabur di Ipoh.

IPOH – Pengusaha sebuah syarikat pelaburan haram di sini berjoli sakan dengan wang kira-kira RM26 juta yang diperoleh daripada lebih 2,000 pelabur di negeri ini.

Dalam keadaan para pelabur berputih mata semasa berusaha menuntut semula wang yang dilaburkan, pengusaha terbabit yang lesap entah ke mana mungkin pada masa kini nyenyak tidur di atas timbunan wang mangsa mereka.

Pengusaha terbabit yang menjalankan skim pelaburan cepat kaya itu sebelum ini menjanjikan pulangan lumayan jika melabur dalam satu projek penanaman rumpai laut di Sabah yang hasilnya akan dieksport ke luar negara.

Pelabur bukan sahaja dijanjikan pulangan asas tujuh peratus bagi setiap sen pelaburan tetapi kononnya juga akan menjadi berkali ganda selepas enam bulan transaksi pelaburan dilakukan.

Selain orang perseorangan, mangsa yang terpedaya pula bukan calang-calang orang, mereka terdiri daripada golongan profesional seperti peguam, doktor dan ahli perniagaan.

Skim pelaburan itu menetapkan pelaburan serendah RM3,000.

Menurut seorang mangsa, Patmini Palanisamy, 53, sambutan Deepavali pada tahun ini menjadi tidak bermakna selepas menyedari tertipu dengan skim pelaburan tersebut.

Katanya, dia bersama tujuh lagi ahli keluarga yang lain terpedaya dengan janji yang diberikan oleh syarikat berkenaan kira-kira setahun lalu.

“Saya sendiri melabur wang simpanan hampir RM60,000 tetapi selepas lebih setahun, tiada khabar berita diterima.

“Lebih malang, minggu lalu kami diberitahu pengarah syarikat berkenaan melarikan wang pelaburan kami dan semua pelabur terpaksa berputih mata,” katanya kepada Kosmo! semalam.

1. Awang Binting telah mengirim surat meminta penjelasan kepada Bank Negara Malaysia dan kemudian Bank Negara Malaysai menghantar surat balasan memberi penerangan kepada Awang Buntal durjana. Isi surat berkenaan menyatakan

2. Aktiviti GMSB mestilah tidak bercanggah dengan Akta Perbankan dan Institusi Kewangan 1989 (BAFIA), Akta Insurans 1996 dan Akta Perbankan Islam 1983. Ketiga2 akta ini ada menyentuh tentang hal yang sama iaitu mencegah >>> aktiviti pengambilan deposit secara haram. Sedangkan GMSB terang2an menjalankan aktiviti pengambilan deposit secara haram.

3. Isi kandungan yang menyatakan GMSB boleh menjalankan aktivitinya asalkan “konsep perkongsian perniagaan” itu tidak bercanggah dengan mana-mana akta yang disebutkan. Ini tidak bermakna apa-apa. Semua syarikat dinegara iniboleh menjalankan aktiviti masing2 asalkan tidak bercanggah dengan mana2 akta yang mengawalnya. Hakikatnya aktiviti GMSB bercanggah dengan sekurangkurangnya 5 akta

Datu Pengiran Awang Binting Pengiran Salleh, whose company Gemilang Mirza Sdn Bhd which was raided by Bank Negara on Tuesday on suspicion of illegal deposit taking and money laundering activities, said his company was based on the profit distribution of sales of the company’s products.

“I forwarded the company concept to Bank Negara and they sent me a letter saying that the sale of my products was under the Domestic Trade and Consumer Affairs Ministry.

“I was also told to be familiar with legal acts regarding the concept of my company and I found that there was no act that says my company concept was illegal,” he told a media conference here today.

Awang Binting also said he referred the company concept to Chief Minister Datuk Seri Musa Aman and was told Gemilang Mirza was an example to other companies in producing more entrepreneurs.

On Tuesday, Bank Negara carried out the raid at the company’s premises in Papar following complaints received from the public.

The company is being investigated under Section 25(1) Banking and Financial Institutions Act 1989 (BAFIA), which carries a fine not exceeding RM10 million or imprisonment for a term not exceeding 10 years or both, and Section 4(1) of Anti-Money Laundering and Anti-Terrorism Financing Act 2001 (AMLATFA), which carries a fine not exceeding RM5 million or imprisonment for a term not exceeding five years or both.

Sekarang kononnya GM ni satu syarikat perkongsian keuntungan. Kalau betul macam tu buatlah permohonan kepada Bank Negara untuk ambil deposit awam tapi tak jugak di minta sebab memang tak dapat kerana niatnya untuk membuat penipuan awam.

Satu perkara yang amat nyata sekali ialah kepada penyimpan disana saya mau tanya adakah kamu diberikan buku akaun atau slip bayar/terima wang kamu disana. Kalau tak ada macamana kamu boleh buang duit kamu begitu banyak disana tanpa sebarang bukti penyimpanan.

Awang binting never failed to amaze me with his severe stupidity.

I cant think of anything else of what is more appropriate action of BNM than asking Mua Buntal to refer his ponzi concept to the Domestic Trade and Consumer Affairs Ministry. The sales of any products surely under jurisdiction of this ministry as Gemilang Mirza Sdn. Bhd. isn’t a financial company, neither it is a security company.

Investment firm boss threatens to sue BNM

Kota Kinabalu: Gemilang Mirza Sdn Bhd (GMSB) Managing Director Ag Binting Pg Salleh insisted Friday that his company is running a legal business and will take legal action against Bank Negara Malaysia (BNM) for Wednesday’s raid on his Papar office.

He claimed to have necessary documents to prove that relevant government agencies had supported his business.

“Being the founder, the GMSB is running its business legitimately,” he told reporters, Thursday.

BNM raided the GMSB office on suspicion of illegal collection of deposits and money laundering following public complains. Relevant assets and documents were seized for investigations.

The raid was conducted under section 25(1) of the Banking and Financial Institution Act 1989 (BAFIA) and section 4(1) of the Anti-Money Laundering and Anti-Terrorism Financial Act 2001 (AMLATFA).

Section 25(1) of the BAFIA 1989 prohibits any person from receiving, taking or accepting deposits without having a valid license while section 4(1) of AMLATFA 2001 prohibits any person from engaging in, or attempting to engage, or abetting the commission of the money laundering activities.

According to Ag Binting, thousands have benefited from GMSB’s profit sharing concept and none had complained of not receiving dividends since his company began operations.

He reiterated that his company’s activities mainly revolved around producing its own brand of produce and the people were investing jointly on “a profit sharing concept”.

Last year Ag Binting told Daily Express in an interview that GMSB reaped profits of between 50-60 per cent from the sale of their products and Ag Binting said his investors enjoyed profit sharing of between 10-12pc every month.

Ag Binting claimed that at one time GMSB had about 30,000 investors.

However, along the way the number reduced to 25,000.

On the amount, he said people were investing in the region of anywhere from RM5,000 to RM50,000. On how much GMSB had collected from investors, he revealed it was in the region of up to RM3 million.

However, he declined to reveal the amount of money that was reported missing in GMSB’s bank account. He had lodged a report at the Papar police station last Sunday about the missing money.

He said the missing money was an internal matter involving his family and that the case was considered closed.

On how he would face his investors since BNM had frozen all his bank accounts as well as properties, Ag Biniting said he urged all his investors to be clam, patient and understand the situation and problem he faced now.

“After BNM had completed their investigations I promise to find a way to pay back the investors,” he said, showing a book containing signatures of his investors expressing support for him and GMSB.

Hmmm… lama sudah nda masuk sini.. tau-tau sudah kana raid GM ani…. mana tia forumer ahli2 Gm dulu yang nda mau dilarang atu?… kan suda dipadahkan jangan hebah-hebohkan di sini. Nahh kan tekana jua ke mua sendiri… apa can dangan…

kesian tah orang kampung yang melabur ratusan juta ringgit atuu… ada ku dangar… GM tidak simpan duit di bank tapi dalam kotak TV dirumahnya… kalau sudah banyak sangat duit yang masuk sehari manada bank yang sanggup terima. sekarang bukan saja disyaki skim cepat kaya aa lagi tuduhan pembersihan wang haram…. berat tu weiii….

Niat mungkin baik, jalan mungkin betul (pada pikirannya lah) tapi sentiasa waspada kepada pendangki dan pengkhianat melayu. Tidak melayu hilang di dunia ba…. klu ada syarikat lain yang mau buat sama cam Gm ani silakan tapi harus berhati-hati jan sampai kena komplen… jan telampau ambungggg…. bila sudah di atas nda mendangar nasihat orang… kan dah kena beb…

Firm: Funds have gone missing

Kota Kinabalu: A Papar-based company involved in an investment scheme has asked police to investigate the disappearance of funds from their bank account.

Papar Police Chief, DSP Nek Zaidi Zakaria confirmed a report was lodged by Gemilang Mirza Sdn Bhd Managing Director Ag Binting Ag Salleh last Sunday.

However, he declined to elaborate, pointing out that investigations have been handed over to the Commercial Crime Investigation Department.

Gemilang Mirza is an investment firm that adopts a business partnership concept, with investors receiving monthly share profits through sales of their own brand of products, Ag Binting said in a Daily Express report last year.

BNM raid Papar investment firm

Kota Kinabalu: Bank Negara Malaysia (BNM) has raided the premises of a so-called investment scheme firm, Gemilang Mirza Sdn Bhd, in Papar, on suspicion of illegal collection of deposits and money laundering activities.

According to a statement, BNM stormed the company’s premises, Tuesday, following public complaints. Relevant assets and documents of the company were seized for further investigations.

The raid was conducted under Section 25(1) of the Banking and Financial Institutions Act 1989 (BAFIA) and Section 4(1) of the Anti-Money Laundering and Anti-Terrorism Financing Act 2001 (AMLATFA).

Section 25(1) of the BAFIA 1989 prohibits any person from receiving, taking or accepting deposits without having a valid license while Section 4(1) of AMLATFA 2001 prohibits any person from engaging in, or attempting to engage in, or abetting the commission of money laundering activities.

A person or company found guilty under Section 25(1) of Bafia would be fined not more than RM10 million or jailed not more than 10 years, or both.

On the other hand, the guilty party under Section 4(1) of AMLATFA will be handed a fine not exceeding RM5 million or imprisoned not more than five years, or both.

“The public are advised to be cautious of investment schemes promoted in the Internet, through phone calls or seminars by individuals or companies not licensed or authorised by BNM to accept deposits or to conduct foreign currency dealings,” the statement said.

A list of all licensed institutions authorised to accept deposits is available on BNM’s website at http://www.bnm.gov.my.

Consumer Association of Sabah and Labuan (Cash) Datuk Patrick Sindu recently criticised BNM for not taking serious action against those involved in get-rich-quick schemes in Sabah.

He said it was an open secret that in areas like Beaufort and here, companies have been collecting cash from the public purportedly as investment with the promise of dividends or profits on weekly or monthly basis.

Investment firm boss threatens to sue BNM

Kota Kinabalu: Gemilang Mirza Sdn Bhd (GMSB) Managing Director Ag Binting Pg Salleh insisted Friday that his company is running a legal business and will take legal action against Bank Negara Malaysia (BNM) for Wednesday’s raid on his Papar office.

He claimed to have necessary documents to prove that relevant government agencies had supported his business.

“Being the founder, the GMSB is running its business legitimately,” he told reporters, Thursday.

BNM raided the GMSB office on suspicion of illegal collection of deposits and money laundering following public complains. Relevant assets and documents were seized for investigations.

The raid was conducted under section 25(1) of the Banking and Financial Institution Act 1989 (BAFIA) and section 4(1) of the Anti-Money Laundering and Anti-Terrorism Financial Act 2001 (AMLATFA).

He reiterated that his company’s activities mainly revolved around producing its own brand of produce and the people were investing jointly on “a profit sharing concept”.

Last year Ag Binting told Daily Express in an interview that GMSB reaped profits of between 50-60 per cent from the sale of their products and Ag Binting said his investors enjoyed profit sharing of between 10-12pc every month.

Ag Binting claimed that at one time GMSB had about 30,000 investors.

However, along the way the number reduced to 25,000.

On the amount, he said people were investing in the region of anywhere from RM5,000 to RM50,000. On how much GMSB had collected from investors, he revealed it was in the region of up to RM3 million.

However, he declined to reveal the amount of money that was reported missing in GMSB’s bank account. He had lodged a report at the Papar police station last Sunday about the missing money.

He said the missing money was an internal matter involving his family and that the case was considered closed.

On how he would face his investors since BNM had frozen all his bank accounts as well as properties, Ag Biniting said he urged all his investors to be clam, patient and understand the situation and problem he faced now.

“After BNM had completed their investigations I promise to find a way to pay back the investors,” he said, showing a book containing signatures of his investors expressing support for him and GMSB.

  1. Apakah Skim Cepat Kaya?

    Satu pelan yang lazimnya menawarkan kadar pulangan yang tinggi atau tidak realistik bagi jumlah pelaburan yang kecil dan pada masa yang sama menjanjikan pelaburan tersebut adalah mudah dan bebas daripada sebarang risiko.

    Skim “Cepat Kaya” yang berikut adalah dilarang di bawah undang-undang yang dikuat kuasakan oleh Bank Negara Malaysia:

      • Membeli atau menjual mata wang asing di antara dua orang dan tiada seorang daripada mereka adalah seorang peniaga yang diberi kuasa melainkan jika orang itu telah mendapatkan kebenaran daripada Pengawal Pertukaran Wang Asing di bawah Akta Kawalan Pertukaran Wang 1953 (AKPW).
      • Membeli atau menjual mata wang asing oleh seorang pemastautin yang bukan seorang peniaga yang diberi kuasa dengan seorang di luar Malaysia melainkan jika orang itu telah mendapat kebenaran Pengawal Pertukaran Wang Asing di bawah AKPW.
    • Aktiviti pengambilan deposit secara haram

      Aktiviti pengambilan deposit secara haram adalah suatu perbuatan menerima, mengambil, atau menyetujuterima deposit (wang, logam berharga, batu berharga, apa-apa artikel lain dan sebagainya) daripada orang awam atau pelabur, yang menjanjikan pembayaran semula deposit tersebut biasanya dengan faedah atau pulangan atau dengan sebarang balasan yang berupa wang atau nilaian wang, tanpa mempunyai satu lesen yang sah di bawah Akta Bank dan Institusi-Institusi Kewangan 1989.

      Urus niaga mata wang asing haram

      Perbuatan yang berikut tergolong kepada urus niaga mata wang asing haram:

  2. AMARAN: Skim Pelaburan Melalui InternetOrang awam diingatkan supaya berhati-hati dengan skim pelaburan yang dipromosikan melalui internet. Sesetengah syarikat dan laman web yang menawarkan skim pelaburan melalui internet tidak dilesenkan atau diberi kuasa oleh Bank Negara Malaysia untuk mengambil deposit atau membuat urus niaga mata wang asing. Aktiviti sedemikian biasanya menawarkan pulangan pelaburan yang menarik atau peluang pelaburan yang membabitkan kadar pulangan yang tidak realistik dan tanpa risiko atau berisiko rendah.

    Pelabur adalah diingatkan supaya membuat deposit hanya dengan institusi yang berlesen atau menjalankan urus niaga mata wang asing dengan institusi yang diberi kuasa oleh Bank Negara Malaysia agar mereka boleh mendapat perlindungan yang sepatutnya. Pengendali tidak berlesen boleh berhenti menjalankan perniagaan mereka yang menyebabkan pelabur-pelabur tidak mempunyai apa-apa cara untuk mendapatkan semula wang pelaburan mereka atau membuat tuntutan terhadap mana-mana orang yang terbabit dengan skim tersebut.

  3. Bagaimanakah untuk mengesan Skim Cepat Kaya?
      • Orang berkenaan (individu, syarikat atau organisasi) menerima, mengambil atau menyetujuterima deposit daripada orang awam tidak mempunyai lesen di bawah seksyen 6(4) Akta Bank dan Institusi-institusi Kewangan 1989;
      • Orang tersebut berjanji untuk membayar semula deposit dengan atau tanpa faedah atau pulangan (faedah atau pulangan pelaburan dijanjikan untuk dibayar dalam suatu tempoh masa dan dalam bentuk wang atau nilaian wang, sebagainya); dan
      • Orang tersebut berjanji untuk membayar semula deposit pokok apabila pembayaran balik dituntut atau pada suatu masa atau mengikut hal keadaan yang dipersetujui oleh atau bagi pihak orang yang membuat bayaran itu dan orang yang menerimanya, dengan apa-apa balasan berupa wang atau nilaian wang (pembayaran pelaburan pokok adakalanya dimasukkan sekali dalam faedah atau pulangan tetap yang dijanjikan).
      • Menawarkan kepada pelabur atau orang awam peluang untuk berurus niaga mata wang asing dengan syarikat induk (yang kononnya mempunyai lesen sah untuk berurus niaga mata wang asing di luar negara);
      • Memudahkan urus niaga mata wang asing dengan menyediakan akses kepada laman web syarikat induk dan kemudahan urus niaga melalui internet;
      • Menggaji lepasan siswazah sebagai eksekutif pemasaran dan mempengaruhi mereka supaya membuat ahli keluarga mereka membuat pelaburan;
      • Mengarahkan pelabur-pelabur untuk mendeposit wang pelaburan sama ada ke dalam akaun bank syarikat induk atau akaun bank pihak ketiga; dan
      • Mempengaruhi pelabur-pelabur untuk menambah jumlah pelaburan (“panggilan margin”) atau menghadapi risiko kehilangan pelaburan mereka .
  4. Skim pengambilan deposit secara haram

    Amaran Untuk Pelabur

    • Aktiviti pengambilan deposit secara haram selalunya berselindung dengan pelbagai cara untuk menipu orang awam menjadi mangsa skim pelaburan haram, antaranya, melalui tawaran pemberian emas dan barang berharga yang lain sebagai sebahagian daripada pulangan yang dijanjikan. Selain itu, orang ramai juga disogok dengan dakwaan bahawa deposit itu diterima sebagai pinjaman kepada syarikat.

    •  Aktiviti pengambilan deposit secara haram seringkali digambarkan mampu memberi kadar faedah atau pulangan yang tinggi atau tidak realistik dalam suatu masa yang singkat berbanding dengan institusi-institusi berlesen yang lain. Bagaimanapun, skim-skim seperti ini tidak boleh bertahan lama;

    •  Jangka hayat skim-skim seperti ini bergantung kepada penyertaan pelabur baru di mana dana pelaburan yang diterima akan digunakan untuk pembayaran dividen kepada pelabur lama. Sekiranya syarikat pengendali gagal mendapatkan pelabur baru, skim ini akan gagal kerana ketiadaan sumbangan dana dari pelabur baru.

    •  Pada permulaannya, pelabur-pelabur awal akan dibayar pulangan pelaburan seperti yang dijanjikan. Bagaimanapun, akhirnya pengendali akan melarikan diri dengan wang deposit yang dipungut apabila pengendali mendapati skim akan mengalami kegagalan yang akhirnya menjadikan pelabur rugi.

    Skim urus niaga mata wang asing haram

    Urus niaga mata wang asing dengan seseorang, selain daripada seorang yang diberi kuasa, yang tidak mendapat kebenaran oleh Pengawal Pertukaran Wang Asing di bawah AKPW sering:

    Amaran untuk PelaburPengendali skim mata wang asing haram akan cuba menyakinkan bakal-bakal pelabur dengan strategi pasaran yang menjanjikan pulangan segera dan tinggi-

    •  Melalui penampilan imej yang profesional dan bereputasi dengan barisan pekerja yang berpakaian segak, keadaan pejabat yang bercirikan teknologi tinggi dan kemudahan IT yang terkini yang memudahkan pelabur-pelabur untuk mengendalikan akaun-akaun mereka melalui internet;

    •  Dengan peralatan urus niaga seperti suatu skrin berita yang menunjukkan pergerakan dalam kadar pertukaran untuk memberi gambaran bahawa sesuatu perniagaan yang profesional dan sah di sisi undang-undang sedang dijalankan;

    •  Kebiasaannya, pelabur juga dikehendaki untuk menandatangani satu kontrak urus niaga dengan syarikat. Kontrak-kontrak ini sering tidak ditandatangani oleh syarikat. Ini bermakna tiada tindakan boleh diambil oleh pelabur terhadap syarikat kerana tiada kontrak formal yang mengikat.

  5. Bagaimanakah untuk melindungi diri daripada terjebak dengan skim seperti ini?

      • Ingatlah pada kata hikmat ini – Sesuatu yang menguntungkan tetapi seakan terlalu mustahil untuk diterima akal, berkemungkinan besar merupakan satu penipuan;
      • Berurusan hanya dengan institusi kewangan berlesen dan peniaga mata wang asing yang di beri kuasa;
      • Semak terlebih dahulu dengan pihak berkuasa yang berkaitan;
      • Jangan gopoh atau membiarkan diri dipaksa untuk melabur;
      • Berhati-hatilah dengan pelaburan yang dibuat melalui internet;
      • Berwaspada dengan sebarang peluang pelaburan yang tidak bertulis; dan
      • Jika suatu pelaburan telah dibuat, simpan kesemua dokumen yang berkaitan dengan pelaburan dan komunikasi dengan selamat.
  6. Apakah yang perlu anda lakukan sekiranya anda menjadi mangsa skim seperti ini?

Bank Negara Malaysia Membuat Serbuan Terhadap Gemilang Mirza Sdn Bhd yang Disyaki Menjalankan Aktiviti Pengambilan Deposit Tanpa Lesen dan Pengubahan Wang Haram

Pada 13 Januari 2009, Bank Negara Malaysia membuat serbuan terhadap Gemilang Mirza Sdn Bhd di bawah Seksyen 25(1) Akta Bank dan Institusi-Institusi Kewangan 1989 (BAFIA) dan Seksyen 4(1) Akta Pencegahan Pengubahan Wang Haram dan Pembanterasan Pembiayaan Keganasan 2001 (AMLATFA). Seksyen 25(1) BAFIA 1989 melarang mana-mana individu untuk mendapat, mengambil atau menerima deposit tanpa lesen yang sah, sementara Seksyen 4(1) AMLATFA 2001 menghalang mana-mana individu daripada terlibat dalam, atau cuba untuk melibatkan diri dalam, atau bersubahat dengan aktiviti pengubahan wang haram.

Serbuan terhadap Gemilang Mirza Sdn Bhd dibuat di premis syarikat di Papar, Sabah berikutan aduan yang diterima daripada orang ramai. Aset dan dokumen syarikat yang berkaitan telah dirampas untuk tujuan penyiasatan.

Mana-mana individu atau syarikat yang melakukan kesalahan di bawah Seksyen 25(1) BAFIA 1989 akan, atas sabitan, dikenakan denda tidak melebihi RM10 juta atau dipenjarakan untuk tempoh tidak melebihi sepuluh tahun atau kedua-duanya sekali. Mana-mana individu atau syarikat yang melakukan kesalahan di bawah Seksyen 4(1) AMLATFA 2001 akan, atas sabitan, dikenakan denda tidak melebihi RM5 juta atau dipenjarakan untuk tempoh tidak melebihi lima tahun atau kedua-duanya sekali.

Orang ramai diingatkan supaya berwaspada dengan skim pelaburan yang dipromosikan melalui Internet, telefon atau seminar yang dianjurkan oleh individu atau syarikat yang tidak dilesenkan atau dibenarkan oleh Bank Negara Malaysia untuk menerima deposit atau berurusan dalam urus niaga mata wang asing, bagi mengelakkan kehilangan wang mereka. Senarai semua institusi berlesen yang dibenarkan menerima deposit terdapat di laman web Bank Negara Malaysia di www.bnm.gov.my.

Assalamualaikum wbt, saya ada persoalan tentang satu pelaburan MIRZA atau Gemilang Mirza yang menawarkan keuntungan tetap 35 peratus sebulan selama 6 bulan. Pada mulanya saya memang tertarik dengan pelaburan tersebut yang memang menguntungkan pelabur tetapi apabila seorang ustaz mengatakan pada saya bahawa pelaburan tersebut mempunyai unsur-unsur riba dan saya keliru tentangh unsur riba.. boleh jelaskan.Terima kasih..

Jawatankuasa Fatwa Majlis Kebangsaan Bagi Hal Ehwal Ugama Islam Malaysia kali ke -77 pada 10-12 April 2007 telah memutuskan bahawa sebarang bentuk pelaburan yang menjamin keuntungan secara tetap seperti yang ditawarkan oleh beberapa syarikat pelaburan dalam dan luar negara adalah haram kerana ia mengandungi unsur-unsur tersebut seperti tempat pelaburan dan perjanjian keuntungan kerana keuntungan yang diperolehi oleh pelabur mesti mengikut naik turun keuntungan perniagaan dan kerugian syarikat.

A High-Yield Investment Program (HYIP) is a type of Ponzi Scheme, which is an investment scam. At one time, ‘HYIP’ was used in the financial services sector to refer to an investment program which may have offered a high return on investment. The term “HYIP” was abused by the operators of scams to camouflage their scams as legitimate investments. Due to this overuse by the operators, HYIP has become synonymous with scam or Ponzi scheme. The usage of the term has evolved to refer to a kind of Ponzi scheme that recruits “investors” through the Internet. Due to the widespread abuse of this term by Internet Ponzi schemes, reputable financial services no longer label themselves as “High Yield Investment Programs”.

HYIP operators generally setup a website offering an “investment program” with returns as high as 45% per month or 6% A day that discloses little or no detail about the underlying management, location, or other aspects of how money is to be invested because no money is invested. They often use vague explanations, asserting little more than that they do different types of trading on various stock markets or exchanges to generate the returns they purport. The SEC has said the following on the matter: “These fraudulent schemes involve the purported issuance, trading, or use of so-called ‘prime’ bank, ‘prime’ European bank or ‘prime’ world bank financial instruments, or other ‘high yield investment programs.’ (‘HYIP’s) The fraud artists… seek to mislead investors by suggesting that well regarded and financially sound institutions participate in these bogus programs.”[1]

Some investigators believe that the majority of HYIPs are Ponzi schemes, in which new participants provide the cash to pay a profit into existing investors’ accounts. However, as there are no formal statistics available about the HYIP sector, much of the material in this article is based on anecdote and conjecture.

HYIPs are able to succeed in collecting large sums of money for the operators by using the classic Ponzi scheme method of using second and third tier investments to pay principal and interest back to the first tier investors. This is continued for the first several tiers, generating positive word of mouth advertising for the scheme. HYIPs may also mirror Pyramid Schemes by offering current investors incentive commissions, for example 9% of current investment, to recruit new investors.

The introduction of e-currencies in the late 1990s made it easier for HYIPs to operate on the Internet and across international boundaries, and to accept large numbers of small payments. HYIPs usually accept payments by either e-currency, like e-gold, and INTGold (now defunct), or use specialist third party payment processors like SolidTrustPay, CEPTrust, TriStarMoneyChangers and StormPay.

The largest documented HYIP scam was OSGold, founded as an e-gold imitation in 2001 by David Reed. OSGold folded in 2002. According to a lawsuit filed in U.S. District Court in early 2005, the operators of OSGold may have made off with USD $250 million[2].

CNet reported that:

At the height of its popularity, the OSGold currency boasted more than 60,000 accounts created by people drawn to promises of “high yield” investments that would provide guaranteed monthly returns of 30 percent to 45 percent.[2]

The second largest documented HYIP was PIPS (People in Profit System or Pure Investors).[3][4] The investment scheme was started by Bryan Marsden in early 2004, according to the Wayback Machine record of pureinvestor.com, and spanned more than 20 countries. PIPS was investigated by Bank Negara Malaysia in 2005 which resulted in Marsden and his wife being charged in a Malaysian court with 97 counts of money laundering more than 77 million RM, equivalent to $20 million.[5] Even after these charges were brought forth, many of Marsden’s followers and investors continued to support him and believe they would see their money in the future. This type of rationalization and denial can often be seen on many HYIP forums.

As a result of online forums and monitoring sites which have made HYIP investors more aware of their nature, some HYIP operators promote their programs as a “ponzi-structured game” where one should “not invest money one cannot afford to lose”, and where there is “never a guarantee of earnings or refunds”. They promise to pay out up to, for example, 95% of deposits, the rest going to hosting or other fees and the owner’s profit.

In such “games”, the first participants (“investors”) may make a good profit and are encouraged to refer other people to the program because of referral commission, the fact that they have already made back their principal and are playing with profit, and that the more people who deposit money, the more money can be paid out to participants. In theory, strategies can be developed to maximize profit using these games (but, of course, since this is a zero-sum game, such strategies work by taking advantage of ignorance or errors by others). Some forum users may gain a reputation whereby others will trust their word that they have been able to withdraw their profits, encouraging others to invest in the hopes that more will invest after them and that they can therefore make a profit. As these games are by definition Ponzi schemes, it is inevitable that the majority of participants who are not at the top of the pyramid will lose their money.

These “games” might be considered as lotteries. However, the odds of winning cannot be determined, as one cannot know whether one is playing early enough to win money (that is, whether a sufficient number of new participants will follow). Thus, these activities are unlike a lottery or other forms of regulated gambling, where a participant has an equal chance of winning no matter when a ticket is bought, or where the odds of the game are known.

HYIP programs generally appeal to the same kind of person who is attracted to gambling. Like gambling, HYIP “games” are a way of separating the participant from his money, while offering a small chance of making a profit. This accounts for their rapid proliferation.

HYIP monitors, or HYIP listing/rating sites, are personal or commercial websites that list and/or promote HYIPs for referral commissions. The monitor charges each HYIP a listing fee which is usually then invested into that program, although there exist free listings and occasionally monitors which invest their own money. The monitor then labels the HYIP as “Paying” or “Not paying/Scam” depending on whether interest is received within the terms specified by the program. Monitors also allow other HYIP investors to rate and comment on the programs, based on factors such as promptness of payouts and responsiveness of the HYIP administrator. Programs with higher ratings achieve higher rankings on the monitor sites, which coupled with a “Paying” status may entice more investors who rely on the monitor.

In some cases, HYIPs may only pay monitor sites to keep their “Paying” status visible, but do not pay other investors. As HYIP monitors are not affiliated with the HYIPs themselves, they are unable to prevent investors from being scammed; they neither help to recover lost funds nor track down the scammers. Promoting or perpetuating Ponzi schemes is a criminal offense punishable by jail terms or fines in most countries. That the monitor sites place disclaimers saying that they “do not promote the programs advertised on their website” does not absolve them from criminal liability.[citation needed]

In order to generate a “paying” status early (so that future visitors will see it) and maintain it for the longest possible time, newly opened HYIPs list their site quickly as well as constantly pay monitors their interest on time. Added to the fact that many monitors invest the listing “fee”, and that a commission is received on each deposit made by people who visit the HYIP via the monitor, they are the most likely to profit when a program runs out of funds.

HYIP owners can manipulate monitors and forums, by paying people to comment positively or by using a range of IP addresses or proxy servers in different locations so that “paying” votes appear to come from around the world. This allows the HYIP to rise up the rankings more quickly than others, giving participants a false sense of security. Additionally, even if they know it will scam in the future, some participants will also rate new HYIPs positively until the HYIP stops paying, because they want more people to invest after them in the hopes that the program will last longer. Future scammers can also build up a good reputation on forums for a large payoff once most forum members trust them.

Though Ponzis and HYIP schemes have thrived and multiplied since at least the early 1900s, the combination of the Internet and Electronic money has played an important role in the rapid growth of HYIP’s in the first decade of the 21st century. Like many businesses with a narrow niche market, the Internet has enabled HYIP scammers to find a global market of people who demonstrate by their behavior that they “want to be scammed”. Somewhat similar to the poor person who spends a large percentage of their income on lottery tickets in hopes of striking it rich, HYIP participants invest money in a “company” in a foreign country that offers returns that are “too good to be true”, that publishes no verifying information, and has no way of being held accountable.

The use of digital payments systems has made it much easier for operators of such websites to accept payments from people worldwide[6]. Electronic Money systems are generally accepted by HYIP operators because that is the only payment system to which they have access. Acceptance of credit cards and ACH would give them access to a far larger pool of prospective victims, but the difficulty of opening a merchant processing account while hiding their identity prevents them from doing so.

Once the HYIP operator has received the payment, it is difficult and costly to track them down across several national borders. This would be the case regardless of whether regular banks or electronic money was used.

While some HYIP operators exploited this weakness, several digital currency companies responded by taking measures to discourage their system from being used for HYIPs. Certain HYIP operators, such as David Reed, opened digital currency companies serving the HYIP niche. Examples of payment systems started by HYIP operators that eventually folded include Standard Reserve, OSGold, INTGold, EvoCash and most recently EMO Corp[7]. StormPay was started in the same way in 2002, but has remained in business even though the HYIP that is was created to serve was shut down by the State of Tennessee[8].

The preference of HYIP operators for e-gold may be because other digital currencies run by HYIP operators that catered to the HYIP niche (see above), have folded, as the operators have made off with the deposits. That is to say, HYIP operators don’t trust each other, but they do trust e-gold, which has remained a stable and reliable payment system for over 12 years.

HYIPs have often been started under the guise of companies. Some have gone so far as to actually incorporate their company in countries with lax fraud laws. Due to these locations, operators may be effectively immune to normal laws that would protect an “investor” in that investor’s country. The operators have been known to host their website with a webhost that offers “anonymous hosting”. They will use this website to accept transactions from participants in the scheme.[9] The HYIP scam may also create sites which employ spamdexing or other adversarial information retrieval techniques in order to attract potential victims by creating an impression that the company has done no wrong. HYIP Monitors are one such example.

Because the amount of money “lost” by a given HYIP participant is generally quite small, and that the nature of the scam is relatively obvious, government task forces on Internet crime do not generally give them high priority.

[edit] Rationalizations

Often HYIPs will claim that they make money through non-existent yet plausible means, playing to people’s gullibility or ignorance on the subject. In the case of the prime bank scam, many people were led to believe that they were buying banknotes in a clandestine organization called prime bank. Other HYIP scams claim that they use special software or algorithms that have the ability to forecast markets in order to make money.[10]

HYIPs generally appeal to emotions of investors who are looking to “get something for nothing”. Unfortunately, often those who play become part of the scam. They are encouraged to promote it in order to receive payment on their investment. In this aspect, it mirrors a Pyramid scheme in that users must recruit others in order to profit.

Charles Ponzi (March 3, 1882January 18, 1949) was an Italian immigrant to the United States who became one of the greatest swindlers in American history. His aliases include Charles Ponei, Charles P. Bianchi, Carl and Carlo. The term “Ponzi scheme” is a widely known description of any scam that relies on a “pyramid” of “investors” who contribute money to a fraudulent program. He promised clients a 50% profit within 45 days, or 100% profit within 90 days, by buying discounted postal reply coupons in other countries and redeem them at face value in the United States as a form of arbitrage.[1][2] Ponzi was probably inspired by the scheme of William Miller, a Brooklyn bookkeeper who in 1899 used the same pyramid scheme to take in $1 million.[3]

Parts of Charles Ponzi’s life are somewhat difficult to determine, due to his propensity to fabricate and embellish facts. He was born Carlo Ponzi in Lugo, Italy in 1882. He told the New York Times that he had come from a well-to-do family in Parma, Italy.[3] He took a job as a postal worker early on, but soon was accepted into the University of Rome La Sapienza. His friends considered the university a “four-year vacation”, and he was inclined to follow them around to bars, cafés, and the opera.

[edit] Arrival in America

On November 15, 1903 he arrived aboard the S.S. Vancouver in Boston. By his own account, Ponzi arrived in the United States in 1903 with two dollars and fifty cents in his pocket, having gambled away the rest of his life savings during the voyage. “I landed in this country with $2.50 in cash and $1 million in hopes, and those hopes never left me,” he later told the New York Times.[3] He quickly learned English and spent the next few years doing odd jobs along the East Coast, eventually taking a job as a dishwasher in a restaurant, where he slept on the floor. He managed to work his way up to the position of waiter, but was fired for shortchanging the customers and theft.

In 1907 Ponzi moved to Montreal, Quebec, and became an assistant teller in the newly opened Banco Zarossi, a bank started by “Louis” Luigi Zarossi to service the influx of Italian immigrants arriving in the city. Zarossi paid 6% interest on bank deposits – double the going rate at the time – and was growing rapidly as a result. Ponzi found out that the bank was in serious financial trouble because of bad real estate loans, and that Zarossi was funding the interest payments not through profit on investments, but by using money deposited in newly opened accounts. The bank eventually failed and Zarossi fled to Mexico with a large portion of the bank’s money.

Ponzi stayed in Montreal and, for some time, lived at Zarossi’s house helping the man’s abandoned family while planning to return to the United States and start over. As Ponzi was penniless, this proved to be very difficult. Eventually he walked into the offices of a former Zarossi customer and, finding no one there, wrote himself a check for $423.58 in a checkbook he found, forging the signature of a director of the company. Confronted by police who had taken note of his large expenditures just after the forged check was cashed, Ponzi held out his hands wrist up and said “I’m guilty.” He ended up spending three years in a Quebec prison. Rather than inform his mother of this development, he posted her a letter stating that he had found a job as a “special assistant” to a prison warden.

After his release in 1911 he decided to return to the United States, but got involved in a scheme to smuggle Italian illegal immigrants across the border. He was caught and spent two years in an Atlanta prison. Here he became a translator for the warden, who was intercepting letters from a mobster, Ignazio “the Wolf” Lupo. Ponzi ended up befriending Lupo. However it was another prisoner who became a true role model to Ponzi; Charles W. Morse convinced doctors Ponzi was dying by eating soap shavings, and was released early.

When Ponzi was released he eventually made his way back to Boston. There he met Rose Maria Gnecco, a stenographer, whom he asked to marry him. Though Ponzi did not tell Gnecco about his years in jail, his mother sent Gnecco a letter telling her of Ponzi’s past. She remained with him nonetheless, and they married in 1918. (The couple divorced circa 1937, and Rose Gnecco, who later remarried, eventually became the bookkeeper for the New Cocoanut Grove Inc, the parent company of Boston’s Cocoanut Grove nightclub.)[4][3][5] For the next few months he worked at a number of businesses, including his father-in-law’s grocery, before hitting upon an idea to sell advertising in a large business listing to be sent to various businesses. Ponzi was unable to sell this idea to businesses, and his company failed soon after.

A few weeks later Ponzi received a letter in the mail from a company in Spain asking about the catalog. Inside the envelope was an International reply coupon (IRC), something which he had never seen before. He asked about it and found a weakness in the system which would, in theory, allow him to make money.

The purpose of the postal reply coupon was to allow someone in one country to send it to a correspondent in another country, who could use it to pay the postage of a reply. IRCs were priced at the cost of postage in the country of purchase, but could be exchanged for stamps to cover the cost of postage in the country where redeemed; if these values were different, there was a potential profit. Inflation after the First World War had much decreased the cost of postage in Italy expressed in U.S. dollars, so that an IRC could be bought cheaply in Italy and exchanged for U.S. stamps to a higher value. The process was: send money abroad; have IRCs purchased by agents; send the IRCs to the U.S.A.; redeem the IRCs for stamps to a higher value; sell the stamps. Ponzi claimed that the net profit on these transactions, after expenses and exchange rates, was in excess of 400%. This was a form of arbitrage, or profiting by buying an asset at a lower price in one market and immediately selling it in a market where the price is higher, which is not illegal.

Ponzi canvassed friends and associates to back his scheme, offering a 50% return on investment in 45 days. The great returns available from postal reply coupons, he explained to them, made such incredible profits easy. He started his own company, the “Securities Exchange Company”, to promote the scheme.

Some people invested, and were paid off as promised. The word spread, and investment came in at an ever-increasing rate. Ponzi hired agents and paid them generous commissions for every dollar they brought in. By February 1920, Ponzi’s total take was US$5,000, (approximately US$54,000 in 2008 dollars).

By March he had made $30,000 ($328,000 in 2008 terms). A frenzy was building, and Ponzi began to hire agents to take in money from all over New England and New Jersey. At that time investors were being paid impressive rates, encouraging yet others to invest.

By May 1920 he had made $420,000 ($4.59 Million in 2008 terms). He began depositing the money in the Hanover Trust Bank of Boston (a small Italian American bank on Hanover Street in the mostly Italian North End), in the hope that once his account was large enough he could impose his will on the bank or even be made its president; he did, in fact, buy a controlling interest in the bank. One biographer of Ponzi who wrote eighty years later described the cash price at which the bank’s founding family sold their stake as suspiciously high. Having had a fiduciary duty to protect their depositors they were a lasting unindicted beneficiary without direct involvement.[citation needed]

By July 1920 he had made millions. People were mortgaging their homes and investing their life savings. Most did not take their profits, but reinvested.

Ponzi was bringing in cash at a fantastic rate, but the simplest financial analysis would have shown that the operation was running at a large loss. As long as money kept flowing in, existing investors could be paid with the new money, but colossal liabilities were accumulating.

Ponzi lived luxuriously: he bought a mansion in Lexington, Massachusetts with air conditioning and a heated swimming pool, and brought his mother from Italy in a first-class stateroom on an ocean liner.

There were signs of Ponzi’s eventual ruin: a furniture dealer, who had given Ponzi furniture when he could not afford to pay, sued Ponzi to cash in on the gold rush. The lawsuit was unsuccessful, but it did start people asking how Ponzi could have gone from being penniless to being a millionaire in so short a time. There was a run on the Securities Exchange Company as some investors decided to pull out.

Ponzi paid them and the run stopped. In fact, on July 24, 1920, the Boston Post printed a favorable article on Ponzi and his scheme that brought in investors faster than ever. At that time, Ponzi was making $250,000 a day.

Despite this reprieve, one of the editors of the Post was suspicious and assigned investigative reporters to check Ponzi out. He was also under investigation by the Commonwealth of Massachusetts, and on the day the Post printed its article Ponzi met with state officials. He managed to divert the officials from checking his books by offering to stop taking money during the investigation; a fortunate choice, as proper records were not being kept. Ponzi’s offer temporarily calmed the suspicions of the state officials.

[edit] Collapse of scheme

By this time Ponzi was seeking another deal to get him out of the golden trap he had built for himself, but time was running out. On July 26 the Post started a series of articles that asked hard questions about the operation of Ponzi’s money machine. The Post contacted Clarence Barron, the financial analyst who published the Barron’s financial paper, to examine Ponzi’s scheme. Barron observed that though Ponzi was offering fantastic returns on investments, Ponzi himself wasn’t investing with his own company.

Barron then noted that to cover the investments made with the Securities Exchange Company, 160,000,000 postal reply coupons would have to be in circulation. However, only about 27,000 coupons were actually circulating. The United States Post Office stated that postal reply coupons were not being bought in quantity at home or abroad. The gross profit margin in percent on buying and selling each IRC was colossal, but the overhead required to handle the purchase and redemption of these items, which were of extremely low cost and were sold individually, would have exceeded the gross profit.

The stories caused a panic run on the Securities Exchange Company. Ponzi paid out $2 million in three days to a wild crowd outside his office. He canvassed the crowd, passed out coffee and donuts, and cheerfully told them they had nothing to worry about. Many changed their minds and left their money with him.

In the short term, Ponzi had hired a publicity agent, James McMasters. However, McMasters quickly became suspicious of Ponzi’s endless talk of postal reply coupons, as well as the ongoing investigation against him. He went to the Post, calling Ponzi a “financial idiot.” The paper offered him five thousand dollars for his story, and ran a headline on August 2 declaring Ponzi hopelessly insolvent. On August 10 federal agents raided the Securities Exchange Company and shut it down. There was no large stock of postal reply coupons. The Hanover Trust Bank was shut down as well. The Post continued their articles, with one revealing Ponzi’s jail record and publishing his (smiling) Canadian mugshots.

On August 12, 1920 Ponzi was under arrest, with a Federal indictment. His liabilities were estimated at $7,000,000.[6]

Ponzi’s supporters were outraged at the officers who arrested him. 17,000 people had invested millions, maybe tens of millions, with Ponzi. Many who were ruined were so blinded by their faith in the man or their refusal to admit their foolishness that they still regarded him as a hero.

On November 1, 1920, Ponzi pleaded guilty to mail fraud, and was sentenced to five years in federal prison. He was released after three and a half years to face state charges.[1] On November 29, 1924 proceedings were initiated to have him deported.[7] During a state trial he was again found guilty and sentenced to seven to nine years.[1] Before entering state prison, Ponzi jumped bail and fled to Florida, where he set up a real estate business in the Springfield section of Jacksonville. In September, 1925 Charpon Land Syndicate began selling “prime Florida property” to gullible investors.[1] In reality, it was a scam that sold swampland in Columbia County.[8]

Ponzi was indicted by a Duval County grand jury in February, 1926 and charged with violating Florida trust and securities laws. A jury found him guilty and the judge sentenced him to a year in the Florida State Prison. Ponzi appealed his conviction and was freed after posting a $1,500 bond. Ponzi traveled to Tampa[8] where he shaved his head, grew a mustache, and tried to flee the country as a crewman on a merchant ship bound for Italy. However, the ship made one last American port call and he was caught in New Orleans and sent back to Massachusetts to serve out his prison term.[1]

In the meantime, government investigators tried to trace Ponzi’s convoluted accounts to figure out how much money he had taken and where it had gone. They never managed to untangle it and could conclude only that millions had gone through his hands.

Ponzi was released in 1934 and asked for a full pardon from Joseph Buell Ely, the Massachusetts Governor.[9]

He was deported to Italy because he had never become an American citizen. His flashy confidence had faded by that time, and when he left the prison gates he was met by an angry crowd. He told reporters before he left: “I went looking for trouble, and I found it.” Rose stayed behind and later divorced him in 1937,[10] as she did not want to leave Boston for his sake. However, they continued to exchange hopeful love letters up until Ponzi’s death.

In Italy, Ponzi jumped from scheme to scheme but little came of them. He eventually got a job in Brazil as an agent for Ala Littoria, the Italian state airline.[2] However, during World War II, the Brazilians, who had sided with the Allies, realized the Italians were using the airline to ship strategic materials and shut it down.

Ponzi spent the last years of his life in poverty. He had a stroke in 1948, and died in a charity hospital in Rio de Janeiro on January 18, 1949. He was blind in one eye and partially paralyzed.[2]

In the charity hospital, Ponzi granted one last interview to an American reporter, and commented about the wild ride he had given Bostonians: “Even if they never got anything for it, it was cheap at that price. Without malice aforethought I had given them the best show that was ever staged in their territory since the landing of the Pilgrims! It was easily worth fifteen million bucks to watch me put the thing over.”[11][3]

KOTA KINABALU: Former Sabah chief minister Datuk Seri Osu Sukam, who was ordered by a United Kingdom court to settle RM7.14 million in gambling debts to two London casinos two years ago, could be making a comeback.

Osu, who was chief minister from 1999 to 2001, has secured 38 branch nominations to qualify to contest the Papar Umno division chief’s post, which he vacated in 2006 after his gambling debt case came to light.

He is expected to slug it out with former protege and acting division chief, Datuk Abdul Rahim Ismail, who is Pantai Manis assemblyman and Malaysian Fisheries Development Authority chairman, during the divisional delegates’ meeting on Monday.

Rahim had queried Osu’s eligibility to contest the post in light of his legal case.

The Umno disciplinary board and management committee had reportedly issued a letter stating that Osu was barred from contesting as he had been declared a bankrupt for failing to settle his debts.

However, state Umno secretary Datuk Seri Yahya Hussein had, on Tuesday, said that he had not received any letter to that effect.

Rahim was appointed acting chairman of the division when Osu resigned from the post in 2006.

Both Rahim and Osu could not be reached for their comments.

Another former chief minister, Datuk Seri Salleh Said Keruak, is also making a comeback and will take on incumbent Datuk Musbah Jamli for the Kota Belud Umno division chief’s post.

Salleh was its chairman until 2004 when he decided not to defend the post.

A keen fight is expected although Musbah has garnered 143 nominations as against 69 for Salleh, who was chief minister from 1994 to 1996.

The Kota Belud division will also hold its delegates’ meeting on Monday.

Confirmed Osu is eligible to contest Papar Umno post

FORMER Chief Minister Datuk Osu Sukam is eligible to contest the Umno Papar division chief post, said Umno Sec-Gen, Tengku Datuk Adnan Mansor.

He said Osu’s eligibility had been in question because of a court case involving him. However, Adnan said since it was a civil case Osu should be eligible to contest the post on Nov. 8. “He is involved in a civil case and not a criminal case, so Osu can contest,” he said.

Osu has reportedly received sufficient nominations to contest the post currently held by Pantai Manis Assemblyman, Datuk Rahim Ismail in an acting capacity in place of Osu who was advised to step down in the wake of his court case pertaining to millions of ringgit owed to casinos in UK and Australia.

Apart from the Umno Papar division, another problematic division is Batu Sapi because its annual delegates meeting has not been recognised by the party headquarters. It was not recognised because the meeting was not even attended by the division chief (Datuk Juhar Mahiruddin).

“How can a meeting be valid if the (incumbent) division chief is not at the meeting?” he asked.

Adnan said as mentioned by Umno President Datuk Seri Abdullah Ahmad Badawi, party headquarters would allow problematic divisions to re-convene their meetings if necessary.

He said elsewhere in the country, there were also some problems involving four divisions in Kelantan and currently discussions were going on with the quarters concerned to resolve the problems before Nov 9, which is the deadline for all divisions to hold their meeting.

According to him, divisions facing problems should refer to the respective state liaison bodies and if there is still no solution then the matter would be referred to Umno Malaysia.

PELABURAN SAYA, HAK SAYA!

Pengenalan
Apabila anda membuat pelaburan dengan membeli stok dalam sesebuah syarikat, anda mengharapkan syarikat tersebut menyalurkan keuntungan dan memberikan anda pulangan yang baik bagi pelaburan tersebut. Walau bagaimanapun, sering kali berlaku, pelabur menyaksikan nilai pelaburan mereka mengecut melalui amalan tadbir urus korporat yang lemah oleh pemegang saham yang mengawal atau pengurus korporat. Salah laku tadbir urus korporat yang mendapat publisiti besar-besaran menyaksikan orang dalam “mencuri” aset syarikat dengan pelbagai cara, atau pengarah-pengarah yang berkali-kali gagal melaksanakan tanggungjawab fidusiari mereka untuk melindungi aset dan kepentingan syarikat serta mendorong syarikat membuat projek yang rugi. Ini berlaku kerana banyak pemegang saham minoriti jahil terhadap hak mereka dan juga tidak menyedari bahawa mereka tertindas. Apabila menyedarinya, selalunya mereka mengambil pendekatan yang pasif dan mentah terhadap kekurangan amalan tadbir urus yang baik tersebut, dan tidak mengambil sebarang tindakan. Apabila mereka memutuskan untuk mengambil tindakan, mereka kurang pengetahuan tentang hak, pilihan dan saluran yang betul untuk meluahkan perasaan tidak puas hati. Mereka juga mungkin tidak menyedari, sehingga terlambat, bahawa terdapat tempoh masa yang ditetapkan oleh undang-undang untuk mengambil tindakan. Kita juga acap kali melihat pelabur runcit dipujuk membeli produk pelaburan seperti derivatif yang didagangkan di bursa, atau dana unit amanah yang tidak bersesuaian dengan kehendak risiko dan objektif pelaburan mereka. Pelabur seumpama ini mungkin akhirnya akan kerugian lebih banyak wang daripada yang boleh ditanggung oleh mereka apabila nilai pelaburan mereka naik turun di pasaran. Sering kali, mereka menyalahkan nasib malang sebagai penyebab kerugian itu berlaku, kerana mereka tidak menyedari bahawa mereka mempunyai hak untuk dilindungi daripada tatalaku perantara pasaran yang tidak profesional.

Anda Mempunyai Hak

Sebagai pelabur, anda mempunyai:

(i) hak sebagai pemegang saham sesebuah syarikat; dan
(ii) hak sebagai pelanggan produk dan perkhidmatan berkualiti tinggi daripada broker saham/remisier atau broker/wakil berdaftar niaga hadapan atau syarikat pengurusan/ejen unit amanah.

Di Malaysia, hak pelabur dilindungi bawah beberapa undang-undang sedia ada, iaitu bawah Akta Syarikat 1965 (CA) Akta Suruhanjaya Sekuriti 1993(SCA), Akta Perindustrian Sekuriti 1983 (SIA), Akta Niaga Hadapan 1993 (FIA), Akta Perindustrian Sekuriti (Depositori Pusat) 1991 (SICDA) dan peraturan Bursa Saham Kuala Lumpur (BSKL), Bursa Dagangan Sekuriti dan Sebut Harga Automasi Malaysia (MESDAQ) dan Bursa Derivatif Malaysia (MDEX).

Bahagian ini bertujuan untuk memberikan panduan bagaimana anda, sebagai pelabur, boleh melaksanakan:

  • hak untuk mendapatkan maklumat;
  • hak untuk menyuarakan pendapat; dan
  • hak untuk mengemukakan aduan.

Hak Untuk Mendapatkan Maklumat

Maklumat yang bertepatan masa dan boleh dipercayai meningkatkan keupayaan pelabur untuk membuat penilaian lebih baik dan menentukan keadaan pelaburan mereka – sama ada ekuiti, derivatif yang didagangkan di bursa atau dana unit amanah. Apakah jenis maklumat yang perlu dicari oleh pelabur? Dan, di manakah maklumat tersebut boleh didapati?

Ekuiti

Satu masalah besar yang dihadapi oleh pelabur runcit ialah, mereka tidak tahu bagaimana hendak mula menilai merit dan prestasi syarikat tersenarai awam (PLC). Hasil daripada penilaian anda akan memberikan panduan sama ada hendak melabur atau tidak, terus melabur atau mengeluarkan pelaburan daripada syarikat tersebut.

Sebagai permulaan, beri perhatian kepada perkara-perkara yang berikut:

Perniagaan teras – Perniagaan teras ialah apa yang terbaik dilakukan oleh sesebuah syarikat, dan pelabur perlu mengetahui bahawa lembaga pengarah dan pihak pengurusan tidak sepatutnya menerokai perniagaan baru tanpa penilaian terhadap kebolehan dan tenaga kerja syarikat. Kebiasaannya, perniagaan baru mestilah boleh diselaraskan dengan perniagaan teras.
Profil pengarah dan jawatankuasa pengurusan – Peranan pengarah ialah memandu hala tuju syarikat, dan lembaga pengarah bertanggungjawab untuk meluluskan pelan strategik dan menyediakan haluan strategik untuk pertumbuhan syarikat. Selain terlibat dalam proses membuat keputusan korporat, lembaga pengarah juga bertanggungjawab memastikan perniagaan diuruskan dengan betul. Oleh itu, para pelabur seharusnya berpuas hati bahawa para pengarah dan pihak pengurusan cukup cekap dalam menguruskan dan merancang pertumbuhan berterusan perniagaan syarikat.
Amalan tadbir urus korporat dan kawalan dalaman – Etika perniagaan memainkan peranan penting dalam persekitaran perniagaan moden, dan amalan tadbir urus korporat yang baik menanamkan keyakinan pelabur terhadap syarikat. Perlu juga ada satu sistem yang kawalan dalaman yang kukuh untuk melindungi pelaburan pemegang saham dan aset syarikat. Ini termasuklah mengenal pasti risiko utama serta pelaksanaan sistem yang sesuai untuk menguruskan risiko tersebut.
Data kewangan – Laporan kewangan menyediakan pelabur dengan sedikit asas untuk memahami dan menilai keupayaan syarikat untuk mendapatkan keuntungan dan aliran tunai.

Selain laporan tahunan, BSKL menetapkan supaya semua syarikat tersenarai menerbitkan laporan kewangan interim setiap tiga bulan. Semua perkara penting perlu di laporkan dalam akaun interim ini. Pelaporan suku tahunan berguna bagi pelabur yang mempunyai syak wasangka terhadap prestasi sesebuah syarikat. Tanpa pelaporan suku tahunan, syarikat boleh menyembunyikan berita buruk untuk tempoh setengah tahun atau lebih.

Urus niaga pihak berkaitan – Walaupun urus niaga pihak berkaitan tidak semestinya “salah laku”, penzahiran segera urus niaga begini adalah antara cara untuk melindungi kepentingan syarikat. Penzahiran membolehkan pemegang saham menilai urus niaga pihak berkaitan bagi memastikan urus niaga ini dilakukan mengikut syarat-syarat yang tidak membawa lebih kebaikan berbanding jika dilakukan sebaliknya.
Liabiliti kontingen – Liabiliti kontingen melibatkan kemungkinan rugi yang timbul daripada kejadian tidak pasti pada masa akan datang. Penzahiran maklumat mengenai liabiliti kontingen akan membantu pengguna laporan kewangan untuk menilai prestasi kewangan yang ada sekarang dan yang dijangkakan, serta kedudukan kewangan syarikat.

Mendapatkan Maklumat

Maklumat mengenai PLC boleh didapati daripada pelbagai sumber, iaitu melalui media cetak dan penyiaran, melalui perkhidmatan talian, melalui internet dan lain-lain. Sumber maklumat yang disenaraikan di bawah mudah didapati oleh semua pelabur.

1. Laporan tahunan menyediakan maklumat terkini yang berguna tentang kegiatan syarikat bagi tahun terdahulu dan mengandungi maklumat mengenai semua perkara yang disebut di atas.

Pelabur perlu mengambil perhatian bahawa dari 1 Januari 2002, pindaan kepada Listing Requirements of the KLSE memerlukan ahli lembaga pengarah syarikat tersenarai untuk memasukkan dalam laporan tahunan satu pernyataan bahawa mereka telah melaksanakan prinsip-prinsip tersebut dan mematuhi amalan terbaik yang digariskan dalam Kod Tadbir Urus Korporat Malaysia. Ini termasuklah satu pernyataan mengenai keadaan kawalan dalaman dalam kumpulan syarikat secara keseluruhan.

Bagi pemegang saham sedia ada, laporan tahunan mengandungi maklumat yang cukup bagi mereka mengemukakan soalan berkaitan kepada para pengarah dan pihak pengurusan kanan pada mesyuarat agung tahunan. Bagi bakal pelabur pula, laporan tahunan sepatutnya memudahcarakan penilaian mengenai nilai syarikat tersebut sebelum membuat keputusan sama ada hendak melabur atau tidak.

2. Tapak web BSKL (www.klse.com.my) menyediakan lebih banyak maklumat terkini mengenai syarikat tersenarai di bursa saham.

Antara maklumat yang boleh didapati daripada tapak web itu ialah:

  • maklumat ringkas mengenai aktiviti dagangan harian setiap lima minit
  • pengumuman syarikat tersenarai, seperti:
    • hasil kewangan suku tahunan
    • hak, seperti dividen, terbitan bonus, terbitan hak dan bayaran faedah
    • perubahan dalam maklumat korporat, iaitu jawatankuasa audit, lembaga pengarah, ketua pegawai eksekutif, setiausaha syarikat dan pendaftar
    • amaran pelabur seperti penggulungan petisyen, perintah pencegahan, pelantikan pentadbir khas dan lain-lain.
  • surat pekeliling kepada pemegang saham
  • akaun teraudit tahunan dan laporan tahunan.

Tapak ini juga menyediakan pautan kepada tapak web sebahagian daripada PLC.

3. Halaman perniagaan akhbar harian tempatan dan penerbitan lain yang meliputi kewangan, perancangan kewangan dan perniagaan, adalah antara sumber maklumat yang baik Sebagai contoh, satu ulasan dalam sebuah akhbar mingguan berbahasa Inggeris mengenengahkan fakta mengenai sebuah PLC sedang mengalihkan lebih daripada RM404 juta kepada unit lain untuk mendapat faedah sedangkan sepatutnya syarikat itu memberikan bayaran dividen lebih tinggi atau terbitan saham bonus. Walaupun urus niaga itu tidak menyalahi undang-undang, pemegang saham minoriti yang tidak puas hati dengan urus niaga tersebut boleh menyoal lembaga pengarah pada mesyuarat agung tahunan mengenai isu ini.

4. RAM dan MARC – Sebahagian PLC turut menerbitkan sekuriti hutang sebagai jalan alternatif untuk mendapat pembiayaan daripada pasaran. Walaupun tiada keperluan bagi bon ditarafkan, pada masa ini semua terbitan hutang di Malaysia ditarafkan oleh, sama ada Agensi Penarafan Malaysia (RAM) atau Malaysian Rating Corporation (MARC).

Penarafan bon direka bentuk untuk membantu pelabur menilai nilaian kredit syarikat penerbit, iaitu, keupayaan membuat pembayaran pada masanya. Penarafan bon disemak dan ditingkatkan secara berkala sepanjang hayat bon tersebut. Pemegang saham PLC yang memiliki terbitan bon boleh menggunakan penarafan ini sebagai petunjuk tentang kedudukan syarikat. Contohnya, sesebuah syarikat yang diletakkan dalam pengawasan penarafan atau diturunkan taraf , boleh jadi menandakan berlaku kemerosotan dalam perniagaan syarikat tersebut.

Anda boleh mendapat maklumat penarafan penerbit yang terkini di tapak web RAM (www.ram.com.my) dan MARC (www.marc.com.my). Pengumuman penarafan turut dikeluarkan dari semasa ke semasa di halaman perniagaan akhbar harian.

5. Layari tapak web Suruhanjaya Sekuriti (SC) (www.sc.com.my) untuk melihat, antara lain, senarai perantara berlesen dan amaran pelabur.
6. Tapak web pendidikan pelabur (www.min.com.my) menyediakan maklumat asas mengenai melabur di pasaran modal Malaysia.

Derivatif yang Didagangkan di Bursa Instrumen derivatif ialah satu kontrak yang nilainya bergantung pada, atau diperoleh daripada, nilai sesuatu aset pendasar (seperti harga komoditi, kadar faedah dan harga saham) atau sesuatu indeks. Disebabkan sifat leveraj kontrak derivatif, pelabur sepatutnya memahami dengan jelas penggunaan derivatif dan risiko yang terbabit sebelum menerokai dagangan niaga hadapan dan opsyen.

Derivatif yang didagangkan di bursa sudah ada di pasaran modal Malaysia sejak 1995. Pada masa ini, ada lima produk yang didagangkan di MDEX, iaitu:

  • Niaga hadapan minyak sawit mentah
  • Niaga hadapan indeks komposit BSKL
  • Opsyen indeks komposit BSKL
  • Niaga hadapan kadar faedah tiga bulan KLIBOR
  • Niaga hadapan Sekuriti Kerajaan Malaysia lima tahun
Tapak web MDEX (www.mdex.com.my) merupakan tapak permulaan yang baik untuk mendapatkan maklumat asas pasaran derivatif Malaysia. Sebahagian daripada maklumat yang boleh didapati di tapak web ini ialah:

  • data harga tertangguh bagi lima kontrak niaga hadapan dan opsyen
  • spesifikasi kontrak bagi setiap instrumen derivatif
  • satu bahagian mengenai sumber pendidikan yang menyediakan perincian mengenai aplikasi mekanisme dan urus niaga kontrak niaga hadapan dan opsyen MDEX
  • senarai ahli berlesen (maklumat ini juga boleh didapati di tapak web SC) untuk mengelakkan berurusan dengan syarikat dagangan indeks/komoditi lani tidak sah.

Selain itu, untuk memastikan bahawa pelabur menyedari dan memahami apa yang terbabit dalam urus niaga kontrak derivatif, peraturan MDEX menetapkan broker niaga hadapan memberikan kepada pelanggan mereka:

  • penjelasan mengenai sifat kontrak,
  • spesifikasi dan butir terperinci terma penting bagi setiap kontrak yang pelanggan mereka ingin berurus niaga
  • pernyataan mengenai penzahiran risiko,

sebelum urus niaga dijalankan. Pelanggan juga perlu memperakui resit bagi maklumat di atas.

Dana Unit Amanah Dana unit amanah ialah skim pelaburan yang menjana wang daripada banyak pelabur yang berkongsi objektif pelaburan yang sama.

Ada banyak jenis dana unit amanah yang kini terdapat di pasaran, misalnya dana pendapatan, dana pertumbuhan modal, dana pertumbuhan agresif, dana terimbang, dana berkaitan indeks, dana bon, dana pasaran wang, dana Islam dan dana amanah harta.

Apabila memutuskan untuk melabur dalam dana unit amanah, anda perlu mencari maklumat mengenai:

  • pemegang saham, lembaga pengarah dan kakitangan pengurusan utama syarikat pengurusan untuk menilai kekuatan kewangan, rekod prestasi dan kepakaran syarikat tersebut dan kakitangannya. Ini kerana, selain pemasaran dan pentadbiran dana, syarikat pengurusan tersebut turut menguruskan pelaburan, iaitu wang anda.
  • objektif dan strategi pelaburan dana, had pelaburan, portfolio semasa dan sebarang ulasan mengenai prestasi terkini.
  • prestasi lepas dana tersebut. Pelabur diingatkan bahawa walaupun rekod prestasi sesuatu dana boleh dijadikan panduan kepada prestasi akan datang, ia tidak boleh dijadikan jaminan. Sesuatu dana yang menunjukkan prestasi baik pada masa lepas mungkin tidak dapat mengulanginya pada masa akan datang dan begitu juga sebaliknya
Prospektus

Setiap dana unit amanah mempunyai prospektus yang perlu dibaca dengan teliti sebelum membuat sebarang keputusan untuk melabur dalam dana tersebut. Anda mesti meminta prospektus terkini kerana prospektus diperbaharui setiap tahun.

Undang-undang menetapkan bahawa prospektus unit amanah mengandungi semua maklumat sewajarnya yang diperlukan dan dijangkakan oleh pelabur dan penasihat pelabur untuk bagi tujuan membuat penilaian bermaklumat terhadap skim unit amanah.

Oleh itu, prospektus mengandungi, antara lain:

  • maklumat mengenai syarikat pengurusan dan pemegang amanah
  • maklumat mengenai objektif pelaburan, strategi dan butir-butir terperinci lain dana tersebut
  • penerangan mengenai profil pelabur yang paling bersesuaian dengan dana tersebut
  • bayaran dan caj
  • maklumat masa lalu mengenai prestasi dana yang telah beroperasi lebih daripada satu tempoh kewangan

Pelabur perlu menyedari bahawa hanya skim unit amanah yang diluluskan oleh SC boleh ditawarkan untuk jualan kepada orang awam di Malaysia. Dana yang diluluskan boleh dikenal pasti melalui kulit luar prospektus, yang mengandungi pernyataan bahawa satu salinan prospektus tersebut telah didaftarkan dan diserah simpan dengan SC.

Laporan tahunan dan interim Syarikat pengurusan dikehendaki menerbitkan sekurang-kurangnya dua laporan dana berhubung dengan setiap tahun kewangan bagi dana tersebut. Tujuan kedua-dua laporan dana ini ialah untuk menyediakan semua maklumat yang perlu bagi membolehkan pemegang unit menilai prestasi dana dalam tempoh kewangan yang diperkatakan.

Laporan tersebut mesti mengandungi maklumat mengenai:

  • peruntukan aset skim tersebut pada tarikh laporan, termasuk butir-butir mengenai perubahan penting dalam peruntukan aset itu semenjak laporan terakhir
  • prestasi skim
  • tinjauan terhadap pasaran yang skim tersebut membuat pelaburan dalam tempoh berkenaan
  • penilaian terhadap prospek masa hadapan pasaran yang skim tersebut membuat pelaburan, dan strategi yang dicadangkan bagi skim tersebut berdasarkan penilaian
  • laporan pemegang amanah yang menyatakan sama ada syarikat pengurusan telah menguruskan skim tersebut dengan mematuhi peraturan yang ditetapkan oleh surat ikatan amanah dan undang-undang berkaitan. Peranan pemegang amanah ialah bertindak sebagai penjaga aset dana tersebut, dan pemegang amanah perlu, secara aktif, mengawasi pentadbiran dana oleh syarikat pengurusan untuk melindungi kepentingan pemegang unit.
  • jawatankuasa Syariah atau laporan jururunding (jika berkenaan), yang menyatakan sama ada dana itu telah ditadbir mengikut prinsip-prinsip Syariah
  • penyata kewangan bagi tempoh dalam kajian
  • laporan juruaudit

Iklan dan bahan promosi

Pelabur mungkin bergantung kepada iklan dan bahan promosi unit amanah untuk membuat keputusan pelaburan. Oleh itu, untuk memastikan iklan dan bahan promosi unit amanah adil, seimbang dan tepat seboleh mungkin, kelulusan daripada SC diperlukan sebelum iklan dan bahan promosi tersebut boleh dikeluarkan. Iklan dan bahan-bahan promosi yang diluluskan mempunyai kod kelulusan yang bermula dengan huruf “SC/PM”, dan tertera dengan jelas.

Walaupun terdapat begitu banyak maklumat yang diperlukan, pelabur perlu amat berhati-hati. Banyak daripada maklumat itu berguna, tetapi malangnya, banyak juga yang salah. Oleh itu, para pelabur perlu berhati-hati dalam mempertimbangkan kesahihan dan keandalan maklumat pelaburan yang diperoleh daripada semua sumber, terutama maklumat yang tidak diminta, yang terdapat di internet.

Bank Negara Malaysia Raided Four Companies on Suspicion of Conducting Illegal Deposit Taking & Money Laundering Activities
On 13 October 2008, Bank Negara Malaysia raided Buluhmas Enterprise Sdn. Bhd., Jazmeen (M) Sdn. Bhd, Noradz Travel & Services Sdn. Bhd., and Eastana Farm Industries Sdn. Bhd. under Section 25(1) of the Banking and Financial Institutions Act (BAFIA) 1989 and Section 4(1) of the Anti-Money Laundering and Anti-Terrorism Financing Act (AMLATFA) 2001. Section 25(1) of BAFIA 1989 prohibits any person from receiving, taking, or accepting deposits without having a valid license, whereas Section 4(1) of AMLATFA 2001 prohibits any person from engaging in, or attempting to engage in, or abetting the commission of money laundering activities.
The raids were conducted at the premises of the companies in Kuala Lumpur, Selangor and Negeri Sembilan following complaints received from members of the public. Relevant assets and documents of the companies were seized for purpose of the investigation.
Any person or company who commits an offence under Section 25(1) of BAFIA 1989 shall, on conviction, be liable to a fine not exceeding RM10 million or to imprisonment for a term not exceeding 10 years or to both. Any person or company who commits an offence under Section 4(1) of AMLATFA 2001 shall on conviction, be liable to a fine not exceeding RM5 million or to imprisonment for a term not exceeding 5 years or to both.
Members of the public are advised to be cautious of investment schemes promoted on the internet, through phone calls or through seminars conducted by individuals or companies that are not licensed or authorized by Bank Negara Malaysia to accept deposits or to conduct foreign currency dealings. A list of all licensed institutions that accept deposits is available on Bank Negara Malaysia’s website at http://www.bnm.gov.my.
